Terms of Service

1. The Service

Laydyne lets you build 2D and 3D spatial models with AI, connect AI agents through MCP, check routes and run and compare simulations. The free plan includes building and editing spaces, MCP connections for editing tools, and exporting and importing project files. The Pro plan adds simulation runs and comparisons, AI-assisted drafting, the built-in assistant and cloud saving, within the limits shown on the Account page.

We may change, add or remove features, and we may offer features in preview. We will give reasonable notice of changes that materially reduce what a paid plan includes.

2. Accounts

You must give an email address you control and keep your password confidential. You are responsible for activity under your account and for keeping your MCP links private; revoke a link if you think it is exposed. You must be at least 16 years old to create an account, and users under 18 need a parent or guardian’s consent to subscribe to a paid plan. We may suspend or close accounts that break these terms, that are used for abuse, or that have been inactive for an extended period after notice.

3. Acceptable use

You agree not to:

• break the law, infringe others’ rights or upload content you do not have the right to use;
• probe, overload or interfere with the Service, bypass plan limits or access other users’ data;
• use automated means to create accounts or to send AI requests beyond the limits of your plan;
• resell the Service or use it to build a competing product by systematically extracting its outputs;
• submit content that is illegal, harmful or that you are not permitted to share with us and our providers;
• use the Service if you are, or act on behalf of, an organised crime group or other anti-social force, or a person subject to sanctions or export restrictions that prohibit the use.

4. Your content

You keep all rights to the spaces, drawings, images, conversations and project files you create or upload ("your content"). You grant us a licence to host, process, transmit and display your content only as needed to provide the Service, including sending it to the AI providers described in the Privacy Policy when you use AI features. We do not claim ownership of the models or results you produce, and you may export them at any time.

The sample spaces, examples and part library we provide remain ours and are licensed to you for use within the Service and in the outputs you create with it.

5. AI features and results

AI features depend on third-party models and may produce incomplete or incorrect results. Dimensions read from a drawing or an image are assumptions until you check them. Simulations are estimates based on the inputs you provide and the stated limits of the engine; they do not model collisions, crowd physics, evacuation, elevator dispatch or legal compliance, and they are not a substitute for professional engineering, safety or legal advice. You are responsible for decisions made with the Service.

6. Pro subscriptions and payment

• Prices. Pro is currently USD 19.00 per month or USD 182.40 per year, shown before you pay. Prices are in US dollars; taxes are calculated and added at checkout where they apply.
• Seller of record. Paid plans are sold by Link, Stripe’s merchant-of-record service, which collects the payment and any tax, issues receipts and invoices, handles payment-related support and applies its own checkout terms. Your card statement shows LINK.COM followed by our descriptor.
• Renewal. Subscriptions renew automatically at the same price at the end of each monthly or yearly billing period until cancelled. You can cancel at any time from Manage billing on the Account page; cancelling before the renewal date stops further charges, and Pro stays available until the end of the period you have paid for.
• Refunds. Fees already paid are not refunded for a partial period, except where the law requires it or where Link or we decide to refund in a particular case. Refund requests are handled by Link support (see your receipt) or by us; refunds are issued through Link. If a payment is refunded in full, or a charge is disputed, Pro access ends for that period.
• Failed payments. If a renewal payment fails we keep Pro available until 24 hours after the end of the previously paid period while you update your payment method, after which the account returns to the free plan. Saved projects remain available to open, export or delete.
• Limits. Pro includes 1,000 AI model calls per calendar month (UTC), 2 concurrent calls, and 20 cloud projects of up to 10 MiB each (100 MiB in total). Unused calls do not carry over. We may change prices and limits with at least 30 days’ notice; changes apply from your next renewal, and you may cancel before then if you do not agree.

7. Our rights

The Service, its software, design, documentation and trademarks are owned by us or our licensors. These terms do not grant you any right to them beyond using the Service as intended. Feedback you send us may be used without obligation to you.

8. Disclaimer of warranties

The Service is provided "as is" and "as available". To the extent permitted by law we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy of results and uninterrupted or error-free operation. Nothing in this section or the next excludes or limits our liability for damage caused by our intentional or grossly negligent acts, for death or personal injury, or any liability that cannot be excluded under applicable law, including the Consumer Contract Act of Japan.

9. Limitation of liability

Subject to the exclusions stated in section 8, and to the extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for loss of profits, data or business, arising from the Service or from decisions made with its results, and our total liability for any claim is limited to the amount you paid for the Service in the 12 months before the claim arose, or USD 100 if you paid nothing.

10. Termination

You may stop using the Service and request deletion of your account at any time. We may suspend or end your access if you break these terms, if required by law, or if we discontinue the Service; in the last case we will give reasonable notice and refund, through Link, any prepaid fees for the unused period. Sections 4, 5, 6 (as to amounts owed or refunds due), 7, 8, 9, 11 and 13 survive termination.

11. Governing law and disputes

These terms are governed by the laws of Japan. Any dispute that cannot be settled by discussion is subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance, except where mandatory law gives you the right to sue elsewhere. The English text of these terms governs; translations are for convenience.

12. Changes to these terms

We may revise these terms. The date at the top shows the latest revision. For material changes we will post a notice on the site or email registered users at least 30 days before they take effect. If you do not agree you may stop using the Service and, for a paid plan, cancel before the change takes effect; continued use after that date means you accept the revised terms.

13. General

These terms are the whole agreement between you and us about the Service. If a provision is held invalid, the rest remains in force. You may not assign your account or these terms without our consent; we may assign them to a successor of the business with notice to you. We are not responsible for failures caused by events beyond our reasonable control, including outages of the providers named in the Privacy Policy.
